Welcome to Lead360. These Terms of Service ("Terms") govern your access to and use of the Lead360 platform, website, and related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

If you are using the Services on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms, and "you" refers to that entity.

2. Description of Services

Lead360 is a multi-tenant Software-as-a-Service (SaaS) platform designed for construction and service businesses. The platform provides tools for:

  • Lead capture and management
  • AI-powered phone answering and appointment booking
  • Google Calendar integration for automated scheduling
  • Quote creation and management
  • Project management and tracking
  • Invoicing and payment tracking
  • Financial reporting and analytics

Google Calendar Integration: When you connect your Google Calendar to Lead360, you authorize us to access your calendar data to schedule appointments, send reminders, and coordinate team schedules. You can disconnect this integration at any time. Our use of Google Calendar data complies with Google's API Services User Data Policy, including Limited Use requirements.

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice.

3. Account Registration and Access

3.1 Account Creation

To use the Services, you must create an account by providing accurate, current, and complete information. You agree to:

  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access or security breach
  • Be responsible for all activities that occur under your account
  • Provide accurate and up-to-date information at all times

3.2 Subscription Tiers

Lead360 offers subscription-based access with different feature tiers. Your access to specific features depends on your subscription level. We may change pricing and subscription plans with advance notice.

4. User Responsibilities and Acceptable Use

4.1 Data Accuracy

You are solely responsible for the accuracy, quality, and legality of the data you enter into the platform. This includes:

  • Lead and customer information
  • Project details and timelines
  • Financial data and invoices
  • Calendar appointments and scheduling information
  • Any other business information stored in the Services

Third-Party Integrations: When you connect third-party services (such as Google Calendar) to Lead360, you are responsible for maintaining your credentials and managing permissions for those integrations. You acknowledge that Lead360's access to third-party data is governed by both these Terms and the third party's terms of service.

4.2 Prohibited Activities

You agree not to:

  • Use the Services for any illegal purpose or in violation of any laws
  • Send spam, unsolicited communications, or engage in fraudulent activities
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Reverse engineer, decompile, or disassemble any part of the Services
  • Scrape, mine, or extract data from the Services using automated tools
  • Interfere with or disrupt the integrity or performance of the Services
  • Upload malicious code, viruses, or harmful content
  • Resell or redistribute the Services without our written permission
  • Use the Services to violate the privacy or rights of others

5. Multi-Tenant Architecture and Data Isolation

Lead360 operates as a multi-tenant platform, meaning multiple businesses use the same infrastructure. We implement strict data isolation measures to ensure:

  • Your business data is completely separate from other users' data
  • You can only access data belonging to your organization
  • Each tenant's data is logically isolated at the database level

While we implement robust security measures, you acknowledge that you are sharing infrastructure with other users.

6. Payment Terms

6.1 Subscription Fees

Access to the Services requires payment of subscription fees based on your selected plan. You agree to:

  • Pay all fees associated with your subscription
  • Provide valid payment information
  • Authorize us to charge your payment method on a recurring basis

6.2 Billing

Subscription fees are billed in advance on a monthly or annual basis, depending on your plan. All fees are non-refundable unless otherwise specified in writing.

6.3 Price Changes

We may change our pricing with at least 30 days' advance notice. Continued use of the Services after a price change constitutes acceptance of the new pricing.

7. Intellectual Property

7.1 Lead360 Ownership

Lead360 and its licensors own all rights, title, and interest in and to the Services, including:

  • Software, code, and technology
  • Design, layout, and user interface
  • Trademarks, logos, and branding
  • Documentation and content

These Terms do not grant you any ownership rights to the Services. You receive only a limited license to use the Services as described in these Terms.

7.2 Your Data

You retain all ownership rights to the data you input into the Services. By using the Services, you grant us a limited license to use, store, and process your data solely to provide the Services to you.

8. Data Privacy and Security

We take data security seriously and implement industry-standard measures to protect your information, including:

  • Encryption of data in transit and at rest
  • Secure authentication and access controls
  • Regular security audits and updates

9. Warranties and Disclaimers

9.1 Service Availability

9.2 Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

  • Warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties regarding the accuracy, reliability, or completeness of the Services
  • Warranties that the Services will be error-free, secure, or uninterrupted

You use the Services at your own risk. We are not responsible for any data loss, business interruption, or other damages resulting from your use of the Services.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEAD360 AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Business interruption or loss of use
  • Any damages arising from your use or inability to use the Services

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

11. Indemnification

You agree to indemnify, defend, and hold harmless Lead360 and its affiliates, officers, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or related to:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any laws or third-party rights
  • The data you input into the Services

12. Term and Termination

12.1 Term

These Terms remain in effect for as long as you use the Services or maintain an active account.

12.2 Termination by You

You may terminate your account at any time by contacting us or using the account cancellation feature in the platform. Upon termination, you will have a limited window (typically 30 days) to export your data.

12.3 Termination by Us

We may suspend or terminate your access to the Services at any time if:

  • You violate these Terms or applicable laws
  • Your account has been inactive for an extended period
  • You fail to pay subscription fees
  • We are required to do so by law

12.4 Effect of Termination

Upon termination, your right to access and use the Services immediately ceases. We will delete your data within a reasonable timeframe after termination, unless we are required to retain it for legal purposes.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.

13.2 Dispute Resolution

Any disputes arising out of or relating to these Terms or the Services shall be resolved through good-faith negotiation. If a dispute cannot be resolved through negotiation, it may be submitted to binding arbitration or litigation in accordance with applicable law.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the "Effective Date" at the top. Your continued use of the Services after changes are posted constitutes your acceptance of the updated Terms.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Lead360 regarding the Services.

15.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

15.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it in the future.

15.4 Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms to any affiliate or successor without restriction.
